These Terms of Service ("Terms") set out the basis on which Thangana Group provides tax, business and related consulting services to clients. They apply to all engagements, quotations, proposals, training, and other services that we provide, unless expressly agreed otherwise in writing.
By accessing our website, requesting a quotation, engaging us to perform work, or continuing to use our services, you confirm that you have read, understood, and accepted these Terms. If you are acting on behalf of a company or other entity, you warrant that you are authorised to bind that entity to these Terms.
If you do not agree with these Terms, you should not use our services. If you have any questions about how these Terms apply to you, please contact us via the Contact page before proceeding with an engagement.
Thangana Group provides professional services including, but not limited to, personal and corporate tax returns, VAT registrations and submissions, company registrations, small-business consulting, and training or workshops for individuals and businesses.
The specific scope of work, deliverables, timelines, and fees for each engagement will be set out in a quotation, proposal, email confirmation, or similar written communication ("Engagement Terms"). In the event of any conflict between these general Terms and the Engagement Terms, the Engagement Terms will prevail for that particular assignment.
We do not provide legal advice, investment advice, or any services outside the agreed scope. You remain responsible for seeking independent professional advice where necessary.
To enable us to deliver accurate and timely services, you agree to:
- Provide complete, accurate, and up-to-date information and documents within the timeframes we request.
- Promptly inform us of any changes to your circumstances that may affect your tax or business affairs.
- Review all returns, forms, and documents that we prepare and notify us of any errors or omissions before they are submitted to the South African Revenue Service (SARS) or any other authority.
- Retain copies of all records, supporting documents, and submissions for your own compliance and audit purposes.
- Comply with all applicable laws and regulations, including those issued by SARS, the Companies and Intellectual Property Commission (CIPC), and other regulators.
You acknowledge that our work and any advice we provide will depend on the information you supply. We are not responsible for consequences arising from incomplete, inaccurate, or late information provided by you or on your behalf.
Our fees may be quoted as fixed amounts for specific services or calculated on an hourly or project basis, as described in the Engagement Terms. Unless otherwise indicated, all fees are quoted exclusive of VAT and disbursements.
We may require a deposit or upfront payment before starting work. Invoices are payable within the payment period stated on the invoice or Engagement Terms. If no period is stated, payment is due within 7 (seven) calendar days of the invoice date.
Late or non-payment may result in the suspension or termination of services, withdrawal of submissions not yet filed, and/or the addition of reasonable interest or administrative charges, where permitted by law. You remain responsible for all fees incurred up to the date services are suspended or terminated.
Where refunds or rebates are expected from SARS or other authorities, you acknowledge that these amounts are separate from our professional fees and are not a guarantee of payment to you.
We treat all client information as confidential and will not disclose it to third parties except where required or permitted by law, where necessary to deliver our services (for example, to SARS or CIPC), or where you have given your consent.
We process personal information in line with the Protection of Personal Information Act, 2013 (POPIA), our internal policies, and our published Privacy Policy. These documents explain what information we collect, how we use it, and your rights in relation to your personal information.
For more detail, please refer to our Privacy Policy and our POPIA Compliance page. If you have questions about how we handle your data, you can reach us via the Contact page.
Our services are provided with reasonable skill and care, based on the information and instructions you provide and the laws and guidance in force at the time. We do not guarantee any particular outcome, including the approval of registrations, assessments, objections, or the granting of tax refunds or incentives.
To the fullest extent permitted by South African law, Thangana Group will not be liable for any indirect, consequential, or special loss, including loss of profit or opportunity, arising from or in connection with our services or these Terms. Our total aggregate liability for any claim is limited to the lesser of (a) the fees paid to us for the specific engagement giving rise to the claim, or (b) the amount recoverable under our applicable professional indemnity insurance.
We are not responsible for losses arising from delays or failures caused by events beyond our reasonable control, including system failures at SARS or other authorities. Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.
Either you or Thangana Group may terminate an engagement at any time by giving reasonable written notice, subject to any minimum terms set out in the Engagement Terms. We may also terminate or suspend services immediately if you fail to pay fees when due, if you breach these Terms, or if continuing the engagement would, in our reasonable opinion, create a conflict of interest or reputational risk.
On termination, you remain liable for all fees, expenses, and disbursements incurred up to the effective date of termination. Subject to our rights of lien under applicable law, and once all outstanding amounts have been settled, we will provide you with copies of key documents and submissions prepared for you, where reasonably practical.
Termination of an engagement does not affect rights or obligations which have already arisen, including provisions relating to confidentiality, data protection, fees, and limitations of liability, all of which will continue to apply.
These Terms, and any dispute or claim arising out of or in connection with them or with our services, are governed by the laws of the Republic of South Africa.
If a concern arises, you agree to first raise it with us in writing and give us a reasonable opportunity to address it. We will try to resolve disputes amicably through discussion and, where appropriate, negotiation or mediation.
If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of South Africa, unless the parties agree in writing to an alternative dispute resolution process.
We may update these Terms from time to time, for example to reflect changes in our services, in applicable laws, or in our internal processes. When we make material changes, we will post the updated version on this page and update the "Last updated" date below.
Your continued use of our website or services after changes take effect will constitute acceptance of the revised Terms. We encourage you to review this page periodically to stay informed about how we work with you.
